Meetings of the Board.- (1) The Board shall meet and shall from time to time make such arrangements with respect to the day, time, notice, management and adjournment of its meetings as it thinks fit, subject to the conditions that- (a) an ordinary meeting shall be held twice in a year; (b) the Chairman may, whenever he thinks fit, call a special meeting; (c) every meeting shall be presided over by the Chairman and in his absence by 1[the Senior Vice-Chairman and in the absence of both, the Vice-Chairman and in the absence of all the above] by any other member chosen by the members present; (d) the Member-Secretary of the Board shall make available the notice alongwith the agenda of the meeting to all the members of the Board atleast twenty four hours before the meeting takes place; and (e) the presence of 50% members of the total number of the members of the Board shall form the quorum of a meeting. (2) The decisions of the Board shall be attested and maintained by the Member-Secretary of the Board.
