THIS COMPANY APPLICATION, COMING ON FOR ORDERS, THIS DAY, ORDER WAS MADE THEREIN AS UNDER: CORAM: HON'BLE MR. JUSTICE SURAJ GOVINDARAJ ORAL ORDER 1. CA No.258/2025 has been filed seeking for the following reliefs; a. Direct the Respondents Nos. 1 & 2 to deliver the properties/assets of the Company (in liquidation) to the Official Liquidator forthwith or within such time as this Hon'ble Court may fix. b. Direct the Respondents Nos. 1 & 2 to hand over all the books and papers, records etc., of the company (in liquidation) with inventory to the Official Liquidator forthwith or within such time as this Hon'ble Court may fix. c. Permit the Official Liquidator to take the assistance of jurisdictional Police authorities to take possession in case respondents fail to deliver possession within the time fixed by this Hon'ble Court. d. Pass such other order or orders, as this Hon'ble Court may deem fit and proper in the circumstances of the case. 2. Notice having been issued to the respondents– directors, the service is held sufficient. Thereafter, - 3 - HC-KAR NC: 2026:KHC:5391 CA No. 258 of 2025 IN COP No. 257 of 2015 there is no representation on the part of the respondents-directors. The respondents being directors of the company not being in dispute, it is required for them to comply with the requirements of Section 468 of the Companies Act, 1956 and hand over all books of records and assets of the company to the official liquidator. As such, I pass the following: ORDER i) CA No.258/2025 is allowed. ii) Respondents no.1 and 2 are directed to deliver the property / assets of the company in liquidation to the official liquidator within a period of 30 days from the date of receipt of a copy of this order. iii) Respondents no.1 and 2 are also directed to hand over all the books and papers, records of the company in liquidation with the inventory - 4 - HC-KAR NC: 2026:KHC:5391 CA No. 258 of 2025 IN COP No. 257 of 2015 thereof to the official liquidator within the aforesaid period of 30 days. iv) The registry is directed to forward a copy of this order to respondents no.1 and 2. v) In the event of respondents no.1 and 2 not complying with the above order, the official liquidator is permitted to take the assistance of the jurisdictional police authorities to take possession of the aforesaid property.
