Order and direct that the Respondent No.1, Vasoo Builders Private Limited, be wound-up by and under the orders and directions of this Hon’ble Court; ii. Appoint the Official Liquidator attached to this Hon’ble Court, or some other fit and proper person be appointed as the Liquidator of the Respondent No.1, Vasoo Builders Private Limited, to conduct its affairs in the course of winding up and to distribute its assets in accordance with law and with all powers under the Companies Act, 1956; iii. Pass such other and further orders as this Hon’ble Court may deem fit; in the interests of justice and equity. 2. A memo of retirement has been filed by the learned counsel for the petitioner, enclosing a notice dated 04.07.2024, registered receipts, as also a postal track record. 3. Accepting the said memo of retirement and the statement made therein that the learned counsel for the petitioner has not received any response from his client. The said memo is allowed. 4. Sri Aditya Narayan, learned counsel, is discharged from the matter. 5. When apparently no instructions have been received by the learned counsel, a memo of retirement having been filed on 28.08.2024, notice having been earlier issued on 07.07.2024, no arrangements for being represented having been made by the petitioner, I am of the considered opinion that the petitioner is - 4 - HC-KAR NC: 2026:KHC:1454 COP No. 169 of 2014 not interested in prosecuting the matter, and the petition is dismissed for non-prosecution.
