ORAL ORDER
1. This petition is filed under Section 11(6) of the Arbitration and Conciliation Act, 1996 (for short, “the Act”), seeking appointment of a Sole Arbitrator for adjudication of the disputes that have arisen between the petitioner and the respondent under the Offer Letter dated 01.07.2022, particularly in terms of Clause 16 thereof, produced at Annexure-A.

Brief facts of the case are that, the petitioner is a Company incorporated under the Companies Act, 1956, engaged in operating freighters for integrators and offering a scheduled domestic network, as well as domestic and international cargo charter services. The respondent was appointed as a Line Captain in the Flight Operations Department of the petitioner-Company pursuant to an employment agreement dated 04.07.2022. The respondent’s employment was subject to compliance with the petitioner’s HR Policy Manual and applicable training requirements. The respondent resigned from the said company by communicating the same via Email on 31.07.2023, without complying with the stipulated notice period of one year as mandated under the petitioner’s HR Policy Manual and the applicable DGCA CAR Guidelines. Consequently, disputes arose between the parties in relation to the terms and conditions contained in the said Offer Letter.
3. The Offer Letter contains an arbitration clause, namely, Clause 16, which reads as under:
“16. Arbitration and Legal Jurisdiction In case of any dispute arising out of this Agreement, the matter shall be referred to the CEO of the Company for arbitration. In the even you are still not satisfied, the CEO shall appoint an Arbitrator within 05 days of receipt of request to appoint an Arbitrator. Such an Arbitrator shall pass a reasoned award within 07 days of his appointment. parties. The venue of arbitration shall be Bangalore and the language of arbitration shall be English.”

As the Offer Letter provides for resolution of disputes by way of arbitration, the petitioner issued a notice dated 26.11.2024, vide Annexure-G, to the respondent under Section 21 of the Act, invoking the arbitration clause. Despite service of the said notice, the respondent did not furnish any response. Hence, the petitioner has filed the present petition.

Learned counsel for the respondent before this Court submits that this Court may appoint a Sole Arbitrator and all the contentions of the parties may be left open.

In view of the above, and having regard to the existence of the arbitration clause contained in the Offer Letter, this Court is of the opinion that a Sole Arbitrator is required to be appointed for adjudication of the disputes between the parties. ORDER a) Civil Miscellaneous Petition is allowed.
b) Smt.Prabhavathi Hiremath, Retired District Judge, is appointed as the Sole Arbitrator in the present case to arbitrate the disputes between the parties at the Arbitration and Conciliation Centre (Domestic & International), Bengaluru, as per the Rules governing the said Arbitration Centre.
c) All the claims and contentions of the parties are kept open.
d) Registry is directed to communicate this order via E-mail to the Arbitration and Conciliation Centre (Domestic & International), Khanija Bhavan, Bengaluru, and also to the learned Sole Arbitrator.
e) Registry is directed to return all the original documents produced by any of the parties after obtaining Photostat copies of the same.
