The appellants have filed the present appeal impugning an order dated 14.08.2026 passed by the learned Single Judge in W.P.No.25357/2026 (GM-RES). 2. The appellants had filed the said petition, inter alia, praying that directions be issued to respondent No.2-The Registrar of Companies [ROC] to take cognizance of the complaints dated 29.07.2026 and 30.07.2026 filed by the appellants. The appellants essentially seek validity of the meetings (Board and General) and the resolutions passed in such meetings. - 4 - HC-KAR CNR: KAHC010608882026 NC: 2026:KHC:47779-DB WA No. 2036 of 2026 3. The learned Single Judge held that the private disputes are essentially between appellant No.2, who claims to be the Managing Director of appellant No.1-company and respondents Nos.3 and 4, who are the professional Directors of appellant No.1-company. 4. The learned Senior Counsel appearing for the appellants submits that the appellants are not seeking any private relief but were seeking a direction that ROC take necessary action under Sections 206 and 207 of the Companies Act, 2013. 5. It is apparent that the appellants seek to agitate a private dispute in the guise of seeking a public remedy. The powers of Inspection, Inquiry and Investigation under Chapter XIV of Section 206 of the Companies Act, 2013 are required to be exercised by the ROC, if on a scrutiny of any document filed by a company or on any information received, the ROC is of the opinion that any further information or explanation is necessary. 6. Given the nature of the disputes are to be raised, there is no occasion for this court to issue any directions or ROC to conduct any investigation or inspection.
