ORAL ORDER Challenging complaint dated 15.02.2020 at Annexure-B and consequent FIR registered in Crime no.27/2020 by Nelamangala Rural Police Station at Annexure A, this petition is filed. 2. Sri Shreyas L. Patil, learned counsel appearing for Sri MRC Manohar, advocate for petitioners submitted that petitioners were accused no.1 and 2 in complaint filed by respondent no.2 (complainant) for offences punishable under Sections 406, 504, 506 and 149 of Indian Penal Code, 1860 (IPC), which were compoundable. 3. It was submitted, during pendency of above petition, accused and complainant had arrived at amicable settlement, whereunder complainant was not intending to pursue petition and filed application under Section 359 read with Section 528 of Bharatiya Nagarik Suraksha Sanhita, 2023 (BNSS) along with affidavit for compounding offences. Learned counsel sought for allowing petition and for quashing of proceedings. - 4 -

4. Sri Javeed S., learned HCGP for respondent no.1 - State would submit that offences were compoundable in nature and taking note of settlement, appropriate orders may be passed. 5. Sri Lakshmisha N., learned counsel appearing for Sri Harsha D. Joshi, advocate for respondent no.2 (complainant) would support submission of counsel for petitioners. 6. Parties are present and identified by their respective counsel. 7. On interaction, respondent no.2 - complainant has affirmed contents of affidavit, which reads as follows:
" AFFIDAVIT
1. I am Respondent No.2 in the above Criminal Petition and being the Complainant in Crime No.0027/2020 of Nelamangala Rural Police Station, I am well acquainted with the facts of the case and I am competent to swear to this affidavit. 2. I state that, due to certain business misunderstandings regarding the management and affairs of M/s. Gayathri Batteries Pvt. Ltd., I had lodged a complaint before the Nelamangala Rural Police Station, which resulted in the registration of FIR No. 0027/2020 for alleged offences punishable under Sections 406, 504, 506, and 149 of the Indian Penal Code, 1880, currently pending before the

Court of the Additional Civil Judge and JMFC, Nelamangala. 3.
3. I state that, subsequent to the filing of the above petition by the Petitioners seeking quashing of the said criminal proceedings, well-wishers and common friends of both parties intervened to resolve the disputes amicably. 4. I submit that, after mutual discussions and negotiations, myself and my wife Smt. Gayathri Sekhar and the Petitioners and their representatives have arrived at a comprehensive, full and final amicable settlement. The terms of the settlement have been reduced to writing by way of a Memorandum of Understanding (MOU) dated: 13-07-
2026. In terms of the said MOU, the commercial and administrative differences concerning M/s. Gayathri Batteries Pvt. Ltd., including share transfers, resignation of directorship by Petitioner No.1 and banking closures, have been fully resolved to our mutual satisfaction. 5. I state that, in view of the amicable settlement arrived at between the parties, I have unconditionally retracted and renounced all allegations, accusations and claims previously made against the Petitioners. I have no surviving grievances, claims or demands against them. 6. I submit that, I am executing this affidavit voluntarily, out of my free will and volition, without any coercion, fraud, duress, or undue influence from any quarter. 7. As the core dispute is entirely commercial and private in nature and has been settled completely, no useful purpose will be served by continuing the criminal prosecution. WHEREFORE, I respectfully pray that this Hon'ble Court may be pleased to take this Affidavit on record, allow Criminal Petition No. 4769 of 2020, and quash the FIR in Crime No. 0027 of 2020 registered by the Nelamangala Rural Police Station, along with all

consequential proceedings pending before the Court of the Additional Civil Judge and JMFC, Nelamangala, against the Petitioners, in the interest of justice."

In view of affidavit filed by respondent no.2 (complainant) stating that he does not wish to pursue complaint and offences for which, complaint was registered are compoundable in nature, to secure ends of justice, petition is allowed, complaint dated 15.02.2020 at Annexure-B and consequent FIR registered in Crime no.27/2020 by Nelamangala Rural Police Station at Annexure A stands quashed.
