THIS REVIEW PETITION, COMING ON FOR ORDERS, THIS DAY, ORDER WAS MADE THEREIN AS UNDER: CORAM: HON'BLE MR. JUSTICE SURAJ GOVINDARAJ ORAL ORDER 1. The Petitioner is before this court seeking for the following reliefs: a) Review the Impugned order dated 28.03.2024 passed by this Hon'ble Court in Co. P. No. 58/2008. b) Direct Transferor Company No.1 (M/s. Primus Brands Pvt. Ltd.) and Transferor Company No.2 (M/s. Personality Ltd.) to deposit the requisite valuation fees in compliance with the order dated 28.03.2024 passed in CoP No. 58/2008; c) Direct the competent authority to lodge its claim before the Applicant if the prayer under clause (b) is not accepted; d) Pass appropriate directions for restoration of the Scheme of Amalgamation sanctioned vide order dated 09.01.2009, subject to compliance with the above direction, thereby vesting the properties of the Transferor Companies in the Transferee Company, i.e., M/s. Primus Retail Pvt. Ltd. (in liqn); 2. That the instant RP was filed as the Official Liquidator of the company in liquidation was unable to execute the sale deed in respect of eh trademarks in favour of the Respondent in CA No. 12 of 2026, who is the auction purchaser. 2. That due to the pending litigation, the Respondent in CA No. 12 of 2026, expressed their intention for a refund of the entire bid amount, with interest. Accordingly, CA No.12 of 2026 was filed. 3. If the CA No.12 of 2026 is allowed, the instant Review Petition (RP No.291 of 2025) may be treated as not pressed and dismissed accordingly, along with any pending I.A’s i.e., if refund of entire bid amount is accepted without interest. Wherefore, it is most humbly prayed that this Hon’ble Court may be pleased to pass necessary order taking the instant memo on record, as this Hon’ble Court may deem fit in the interest of justice and equity. 3.
