The petitioner has filed the present petition under Section 11(6) of the Arbitration and Conciliation Act, 1996 (A&C Act) seeking appointment of a Sole Arbitrator to adjudicate the disputes, differences and claims arising out of a Registered Lease Agreement dated 22.07.2022 read with a Tripartite Agreement dated 01.12.2023 between the petitioner and respondents. 2. Under the aforesaid agreements, the respondent no.1 had taken the second floor of the premises bearing house No.9, Second Floor, Near Madipur Metro Station, Pachim Vihar Extension, New Delhi-110063 on lease. Subsequently, in terms of a Tripartite Agreement dated 01.12.2023, the rights and liabilities of the respondent no.1 were transferred to the respondent no.2, with the respondent no.1 remaining ultimately responsible for any default. The Arbitration Clause in the Registered Lease Agreement dated 22.07.2022 reads as follows: “35. That all disputes arising out of the agreement shall be subject to the arbitration under the Provision of arbitrating and conciliation Act 1996 and statutory modification thereof at Delhi only & in the event of any dispute arising under this agreement the court of Delhi shall have jurisdiction.” 4. The Tripartite Agreement dated 01.12.2023 is in pursuance of the Lease Agreement wherein it is, inter alia, stipulated as under: “AND WHEREAS the Lessee / Transferee has agreed to take the responsibilities mentioned in the Lease Deed and to carry forward all the activities mentioned in the deed signed by Mr. Madan Gheek and JR Compliance.” 5. Further, Clause – 7 of the Tripartite Agreement provides as under: “7. That with effect from 01/12/2023, JR Compliance will not be responsible for any matters related to the Lease Agreement signed between Mr. Madan Gheek and JR Compliance & Testing Labs. However, JR Compliance & Testing Labs will ultimately be responsible in case of any default by Compila Services Limited.” 6. Learned counsel for the respondents does not dispute the existence of the Arbitration Agreement. It is acceded that the disputes between the petitioner and the respondents be referred to arbitration and an independent Sole Arbitrator be appointed by this Court. 7. As jointly prayed, Mr. Nikhil Aradhe, Advocate (Mobile No. +91 9406712068) is appointed as the Sole Arbitrator to adjudicate the disputes between the parties. 8. The respondent shall be at liberty to raise preliminary objections as regards arbitrability/jurisdiction, if any, which shall be decided by the Sole Arbitrator in accordance with law. The learned Sole Arbitrator may proceed with the arbitration proceedings subject to furnishing to the parties disclosure as required under Section 12 of the A&C Act. 10. Let arbitration take place under the aegis of and as per the rules of the Delhi International Arbitration Centre (DIAC). 11. All rights and contentions of the parties in relation to the claims/counter claims are kept open, to be decided by the learned Sole Arbitrator on merits, in accordance with law. 12. Needless to say, nothing in this order shall be construed as an expression of opinion of this court on the merits of the case. 13. The present petition stands disposed of in the above terms.
