JUSTICE AVNEESH JHINGAN O R D E R % 07.08.2026 1. This petition is filed under Section 11 of the Arbitration and Conciliation Act, 1996 (for short ‘the Act’) for appointment of an arbitrator. 2. The brief facts are that the petitioner was employed with Blu-Smart Mobility Ltd. (for short ‘Blu-Smart’) in a senior managerial capacity. The respondent is a company through which the financial arrangement forming the subject matter of the present dispute was structured and implemented. During the course of employment, the petitioner was granted Employee Stock Options (ESOPs) under the ESOS 2021 Plan. Subsequently, the petitioner participated in the funding round of Blu-Smart by acquiring equity shares through a financial arrangement facilitated by the respondent. 2.1 Upon cessation of employment of the petitioner, the parties to the lis entered into a Settlement Agreement dated 12.03.2025 (for short ‘settlement This is a digitally signed order. Disputes arose between the parties regarding the implementation of the settlement agreement. Clause 8 of the settlement agreement provided for resolution of disputes through arbitration. The petitioner invoked arbitration by issuing a notice dated 25.02.2026 under Section 21 of the Act. Hence, the present petition. 3. Learned counsel for the respondents on instructions has no objection for referring the matter to arbitration. 4. Accordingly, the petition is allowed by appointing Mr. Varun Bhandari Gugnani, Advocate (Mobile No.: 9810400605) as the sole arbitrator for adjudication of the disputes which have arisen between the parties. 5. The fees of the learned Arbitrator will be governed by Schedule IV of the Act. Before entering upon reference, the learned Arbitrator will comply with Section 12 of the Act. 6. It is made clear that since this Court has not expressed any opinion on the merits of the rival claims of the parties, it will be open for the parties to file their respective claims/counter claims before the learned Arbitrator which will be considered in accordance with law. 7.
