JUSTICE AVNEESH JHINGAN O R D E R % 07.08.2026 1. This petition is filed under Section 11 of the Arbitration and Conciliation Act, 1996 (for short ‘the Act’) for appointment of an arbitrator. 2. The brief facts are that the petitioner was employed with Gensol Mobility Pvt. Ltd. and subsequently served as the Chief Executive Officer (Fleet) of Blu-Smart Mobility Private Limited. The respondent is a subsidiary of Gensol Engineering Limited and a signatory to the Settlement Agreement dated 12.03.2025 (for short the ‘settlement agreement’). During the course of employment, the petitioner was granted Employee Stock Options (ESOPs) under the ESOS 2021 Plan. Subsequently, the petitioner participated in the funding round of Blu-Smart by availing a loan arrangement facilitated by the respondent and acquired 23,602 equity shares of Blu-Smart. 2.1 Upon cessation of the employment of the petitioner, the parties This is a digitally signed order. The Order is downloaded from the DHC Server on 12/08/2026 at 10:50:02 entered into the settlement agreement whereunder the petitioner agreed to transfer the acquired shares to the respondent towards final settlement of the outstanding loan liability. Disputes arose between the parties regarding implementation of the settlement agreement. The petitioner invoked Clause 8 of the settlement agreement by issuing a notice dated 25.02.2026 under Section 21 of the Act. Hence, the present petition. 3. Learned counsel for the respondents on instructions has no objection for referring the matter to arbitration. 4. Accordingly, the petition is allowed by appointing Mr. Areeb Amanullah, Advocate (Mobile No.: 9470655551) as the sole arbitrator for adjudication of the disputes which have arisen between the parties. 5. Arbitral proceedings will be held under the aegis of Delhi International Arbitration Centre (DIAC). Fee of the Arbitrator shall be fixed as per fee schedule. 6. Before entering upon reference, the learned Arbitrator will comply with Section 12 of the Act. 7. It is made clear that since this Court has not expressed any opinion on the merits of the rival claims of the parties, it will be open for the parties to file their respective claims/counter claims before the learned Arbitrator which will be considered in accordance with law. 8.
