1. This is an application filed under Order XXIII Rule 3 of the Code of Civil Procedure, 1908 seeking to place on record the terms of the compromise entered into between the parties, and seeking that a consent decree be passed in terms thereof. 2. The terms of the understanding between the parties have been set out in the present application as under:
“2. That the Plaintiff, Defendant Nos. I & 2 and Defendant No.3 have settled their disputes and jointly pray that a decree on the terms herein contained may kindly be passed: (i) The Defendant Nos. 1 and 2 in lieu of all the claims of any nature of the Plaintiff as raised in relation to the Estate of her father Deepak This is a digitally signed order. Kumar, shall pay a sum of Rs. 60,00,000/(Rupees Sixty Lakhs only) to the Plaintiff vide Demand Draft No. I 79593 dated 04.08.2026 issued by Union Bank of India, Sector 14 Old DLF Gurgaon Branch. (ii) The Defendant Nos. 1 and 2 in lieu of all the claims of any nature of the Defendant No. 3 as raised in relation to the Estate of her father Deepak Kumar, shall pay a sum of Rs.60,00,000/(Rupees Sixty Lakhs only) to Defendant No.3 vide Demand Draft No. 179594 dated 04.08.2026 issued by Union Bank of India, Sector 14 Old DLF Gurgaon Branch. (iii) Defendant Nos. I & 2 have represented & assured the Plaintiff and the Defendant No.3 that the aforesaid Demand Drafts shall be honoured on their respective presentation.
This settlement is subject to encashment of said Demand Drafts. (iv) Until the aforesaid Bank Drafts are encashed and monies actually credited to the respective bank accounts of Plaintiff and Defendant No.3, the amount mentioned in said Demand Drafts shall constitute a first charge upon: ( 1) Independent Floor No.414, Block B, Sushant Lok Phase-1, Gurugram, Haryana; and (2) Shop No.1588, Main Bazaar, Paharganj, Delhi. (v) The business name Medikos Opticians, its Trade Mark, along with its goodwill, stock-in-trade, inventories, fixed assets like displays (if available), books of accounts etc shall exclusively belong to the Plaintiff, and the Plaintiff shall have the right to carry on the same business under the name 'Medikos Opticians'. Plaintiff shall provide and get necessary document, NOCs, applications etc signed from Defendant Nos. 1 & 2 within four ( 4) weeks from execution of the present Compromise Application to enable the formal substitution/transfer/change of the business in the name of plaintiff in the relevant government records. It is made clear that from the date of execution of the present Compromise Application, the Plaintiff shall be solely entitled to own, manage and carry on the business of Medikos Opticians. (vi) Defendant Nos. 1 and 2 represent that all liabilities, taxes, statutory dues and other obligations relating to Medikos Opticians up to 31.07.2026 have been fully discharges (except any liability relating to gratuity of previous employee, if any, shall be borne by the plaintiff). In the event any liability relating to the period prior to 31.07.2026 arises hereafter, the same be borne & paid by the Defendant No.1. This is a digitally signed order. (vii) On signing of this Application, Defendant Nos. I and 2 shall be free to sell Property No.1588-1589, Paharganj, Delhi (excluding Ground Floor Shop bearing No.I588).
(viii) Upon receipt of monies as detailed above [Clause 2(i) & 2(ii)], Plaintiff and Defendant No.3 shall have no objection to registration of the Sale Deed dated 27.I l.2025 of Shop No.1588, Main Bazaar, Paharganj, Delhi by Defendant No.1 in favour of Smt. Harpreet Kaur and they both accept that in view of present settlement, all of their objections qua the said registration becomes non-est. (ix) Upon receipt of aforesaid amount [Clause 2(i) & 2(ii)], Plaintiff and Defendant No.3 shall have no right or claim in Independent Floor No.414, Block B, Sushant Lok Phase-I, Gurgaon, Haryana and thenceforth Defendant No. I shall be at liberty to deal with the said properties in any manner she deems fit. 3. That now all claims of Plaintiff and Defendant No.3 in the Estate of Deepak Kumar stand settled. Defendant No.1 shall thereafter be free to deal with the estate assets in any manner as per her discretion. 4. That the Defendant No. I shall within I 4 days of signing this application provide exclusive access of mobile number i.e. 98I I5777I I & 97I l 909990 and e-mail of Medikos Opticians to Plaintiff as the same were used for running the business activities. In case transfer of mobile connections is permitted, the same shall be done after taking necessary. NOCs from Defendant No. 1 and all transfer expenses shall be borne by Plaintiff. 5. The Plaintiff and Defendant No. 1 agree that they shall jointly close their joint locker maintained with Union Bank of India, Sector 14 Branch (Old DLF Branch), Branch Code: UBIN0904490, within two (2) weeks from the date of execution of this Compromise Application. The Plaintiff shall sign and execute all applications, forms, declarations, and other documents as may be required by the Bank to facilitate and complete the closure of the said locker. However, the necessary followup etc with the Bank shall be done by Defendant No.1. 6.
That all claims of the Plaintiff and Defendant No. 3 in relation to the estate of late Shri Deepak Kumar stands fully settled, now neither party shall have any claim against each other in any manner. 7. On signing of this Compromise Application, Defendant Nos. l & 2 shall withdraw all complaints, objeGtions, representations or proceedings filed against Plaintiff and Defendant No.3 including Case No.33/SDO(B) of 2026 pending before the SDM-cum-Divisional Magistrate-cum-Chairman, This is a digitally signed order. Maintenance and Welfare of Parents and Senior Citizens, Badshapur, Haryana. 8. Similarly, Plaintiff shall also withdraw all complainant / objections as filed by her before any government I police authority against the Defendant Nos. 1 and 2 or in relation to any of the property owned by the father of the Defendant No. 2 and husband of the Defendant No.1 or qua the properties which are subject matter of the present suit, as the same have become non est in law.”

During the course of hearing, it is informed that the requisite bank drafts for Rs. 60,00,000/- each in favour of the plaintiff and defendant no.3 in terms of paragraph 2 (i) and (ii) have been prepared. The same have been handed over to respective counsel for the plaintiff and defendant no.3. 4. The instant application has been signed on behalf of the plaintiff and the defendant nos.1 and 2. The defendant no.3 has signed the said joint application through Mr. Ankit Goel (Special Power of Attorney holder of defendant no.3). 5. The plaintiff and the defendant nos.1 and 2 are present in Court, and the defendant no.3 has joined the proceedings virtually. 6. All the parties affirm that the aforesaid compromise has been entered into by them out of their own free will and volition and undertake that they will remain bound with the terms thereof. 7. The said undertaking is taken on record. 8.
In the circumstances, as jointly prayed, the present suit is decreed in terms of the aforementioned agreement between the parties. 9. As already agreed, the parties shall pay their respective shares of stamp duty in terms of paragraph-9 of the present application. 10. The suit stands decreed in the above terms. 11. 12. Since the parties have compromised the suit in terms of the aforementioned compromise agreement, let the court fees be refunded to the plaintiff in accordance in terms of Section 16 of Court Fees (Delhi Amendment) Act, 2026. CS(OS) 924/2025
