THESE APPEALS, COMING ON FOR FURTHER HEARING, THIS DAY, JUDGMENT WAS DELIVERED THEREIN AS UNDER: - 5 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 CORAM: HON'BLE MR JUSTICE S.R.KRISHNA KUMAR ORAL JUDGMENT Both these appeals arise out of the impugned judgment and decree dated 21.06.2023 passed in O.S.No.7986/1996 by the 1st Addl.City Civil and Sessions Judge, Bangalore. The subject matter of the suit and the present appeals is a Public Religious and Charitable Trust by name “Sri Datta Guru Sadananda Spiritual and Meditation Centre”. 2. The appellants in RFA No.1709/2023 are the plaintiffs 1 and 4 in the aforesaid suit O.S.No.7986/1996, who have preferred the present appeal challenging the impugned judgment and decree and by seeking the following reliefs:- (i) Modify the judgment and decree dated 21-06.2023 in O.S.No.7986/1996 passed by the I Addl.City Civil and Sessions Judge, Bengaluru City (CCH-2); (ii) To nominate the proposed Trustees by excluding Sri.V.Shankar, to the subject Trust. (iii) To frame a fresh scheme for proper and efficient management of the Trust. (iv) To grant such other relief/s as deems fit to grant in the facts and circumstances of the case in the interest of justice and equity. - 6 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 3. The appellant in RFA No.1537/2023 is plaintiff No.6 in the aforesaid suit in O.S.No.7986/1996, who has preferred the present appeal challenging the impugned judgment and decree and by seeking the following relief:- “WHEREFORE, the Appellant prays that this Hon’ble Court may be pleased to set aside the judgment and decree dated 21.06.2023 in O.S.No.7986/1996 passed by the I Addl.City Civil and Sessions Judge, Bengaluru City (CCH-2) and allow the Appeal, in the interest of justice and equity”. 4. The respondents in both the appeals are the remaining plaintiffs and defendants to the suit. 5. Heard learned counsel for the parties and perused the material on record. 6. Learned counsel for all the parties in both the appeals jointly submit that having regard to the provisions contained in Section 92 CPC in relation to the subject Trust “Sri Datta Guru Sadananda Spiritual and Meditation Centre”, Bangalore, both the appeals may be disposed of by suitably modifying the impugned judgment and decree and by formulating the scheme with regard to the management and administration of the subject Trust “Sri Datta - 7 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 Guru Sadananda Spiritual and Meditation Centre”, Bangalore in terms of the Draft Schemes submitted by the appellants in both the appeals. 7. After having considered the aforesaid Draft schemes and upon perusal of the material on record, I am of the considered opinion that in the light of the provisions contained in Section 92 CPC and the principles of “parens patriae”, both the appeals deserve to be disposed of by setting aside the impugned judgment and decree and formulating a scheme for management, administration etc., of the subject Trust “Sri Datta Guru Sadananda Spiritual and Meditation Centre” as hereunder:- SCHEME This scheme shall be called scheme for administration of "Sri Duttaguru Sadananda Spiritual and Meditation Centre" Bengaluru. I. NAME OF THE TRUST : 1. This Trust shall be known as "Sri Duttaguru Sadananda Spiritual and Meditation Centre Bengaluru". This Trust shall be a public Trust with religious & philanthropic objectives. - 8 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 II. DEFINITIONS 2. In this scheme: (a) Committee of Trustees shall mean the committee formed in terms of this scheme which shall consist of all the Trustees of the Trust. (b) District Judge shall mean the Principal City Civil and Sessions Judge, Bengaluru. (c) Sadhguru / Swami shall mean "Shri Sadguru Sadananda Swamiji". (d) Official Year shall mean a year commencing from 1st January and ending on the last day of December month of the same year. (e) "Date" & "Month" unless they have been defined otherwise, shall mean English Calendar Date & Month. (f) Manager shall mean the person who has been appointed as Manager for administration of this institution. (g) "Mutt" shall include all its movable and immovable assets and properties. - 9 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 (h) The meanings of those words & phrases, which have not been defined in this scheme, shall have the meaning/s defined in Indian Trust Act 1862. III. PRINCIPAL OFFICE OF THE TRUST: 3. The Office of the Trust shall continue at No.24, Palace Cross Road, Bengaluru - 560 020. IV. OBJECTIVES OF THE TRUST: 4. The main objectives of this Trust are: i. To make permanent arrangement to promote and propagate the preachings, ideals, spiritual movement of Sri. Sadguru Sadanada Maharaj. ii. To organize bhajans, discourses and discussions by eminent personalities and to impart education to the needy by establishing Educational institutions of eminence. iii. to perform Pooja to the photo and idol of the Swamiji and also to his Samadhi on a daily basis; iv. Conduct special pooja/worship on all Thursdays and special occasions such as Guru Purnima, Rama Navami, Datta - 10 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 Jayanthi, Shivarathri and other Important Hindu festivals with pomp and gaiety by organizing public processions and distribution of Prasada. v. to continue the Dasoha to the devotees visiting the Mutt on a daily basis by providing free food and medical attention to the Devotees as well as the needy when they visit the Ashram. vi. to provide free education to the poor and deprived classes and the Devotees and from among the society at large. vii. to improve the facilities at the Principal Office of the Trust and in any other property of the Trust, which shall include, but not be limited to, carrying out repairs, renovation, reconstruction, regular and periodical maintenance not only of the existing structure at the Principal Office of the Trust but also of any property, whether built up or not, that may be acquired and construction or repairs, renovation, reconstruction, regular and periodical maintenance of any building as annexe or extension of the Ashram all for the convenience of the Devotees. - 11 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 viii. These objects of the Trust shall be in addition to and not in conflict with the objects mentioned in the registered Trust Deeds dated 13-12-1982 and 24-04-1989. ix. The Committee can include other activities which do not conflict with and are not contrary to the above objectives such other activity which will enhance the preachings of the Sadguru may also be carried on without burdening the financial health of the institution. x. The Committee of Trustees may also carry on any activity conducive, ancillary, essential, subsidiary, collateral, consequential or incidental to the attaining of the objects hereinbefore mentioned. xi. The words and phrases in this clause shall also include agnate and cognate expressions and meanings in order to extend the benefits from the execution of the Trust to a greater number of beneficiaries. V. MANAGEMENT OF THE TRUST: - 12 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 5. The affairs of the Trust shall be managed by a Committee of Trustees in accordance with this scheme. All the Trustees shall be members of the Committee of Trustees provided however the total number of Trustees shall not be more than 11. The total number of Trustees shall be an odd number to avoid deadlock due to difference of opinion on any aspect. VI. QUALIFICATIONS TO BE A TRUSTEE: 6. Any person, irrespective of caste, sub-caste, sect, sub-sect, community, sub-community, economic status, but competent to contract and who shall invariably be a devotee of Sri. Sadguru Sadananda Maharaj, shall be eligible to be appointed as a Trustee if he possesses the following qualifications: (a) He / she should be a devout Hindu having faith in the preaching of "Shree Dattaguru Sadanand Maharaj". (b) He / she should be a devotee associated with the activities of the Trust. (c) He / she should have worked as a volunteer in the activities of the Trust. (d) He / she should have good reputation in the Society. - 13 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 (e) He / she should not be an insolvent. (f) He / she should be a person of sound mind. (g) He / she should have commitment towards welfare of the Trust. (h) He / she should be able to spare sufficient time and energy for the activities of the Trust. (i) He / she should be a permanent resident of India. 7. The names of all the persons appointed as Trustees along with their address shall be published in a local Kannada daily newspaper having wide circulation. VII. SELECTION / ELECTION OF TRUSTEES: 8. As ordered by the 1st Additional City Civil and Sessions Judge, Bengaluru (CCH-2) vide judgment and decree dated 21-06-2023 in O.S.No.7986/1996, duly following the observation of the High Court of Karnataka vide order dated 06-07-2021 in MFA No.4359/2020 on the basis of the unanimous consent of all the parties to the aforesaid appeal, the Deputy Commissioner, Bangalore Urban District, - 14 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 Bengaluru shall, ex officio, be one of the Trustees of the Trust. The aforesaid nomination of the Deputy Commissioner shall not be altered for any reason. 9. Additional Trustees shall be appointed by the District Judge within a period of six months from the declaration of this scheme. Once Trustees are appointed by the District Judge, subsequent appointment of new Trustee/s shall be done by the District Judge in accordance with terms of this scheme, as and when the position of Trustee falls due. 10. The term of Office of the Trustees, except that the Deputy Commissioner, shall be a period of 5 years from the date of his/her accepting the nomination. Any casual vacancy arising in the Office of the Trustees shall also be filled up by an appointment order passed by the District Judge. In case of any dispute regarding appointment, retirement or removal or of a Trustee, the same shall be decided by the District Judge. 11. Persons desiring to be nominated as Trustees shall, upon a public notice being issued, submit the details sought for in the proforma appended at Schedule-A. The District Judge shall, within a period of six months from the date of this scheme, - 15 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 appoint the persons found suitable by him after scrutinizing the said applications. 12. If no nominations are received or nominations received for being a Trustee are considered unsuitable in the opinion of the District Judge, fresh applications shall be called for by issue of Newspaper publication in a Kannada daily having wide circulation in the city of Bengaluru. VIII. OFFICERS OF THE TRUST: 13. The Trustees shall, appoint one among themselves, except the Deputy Commissioner, as a Chairperson. The Chairperson shall be elected by the Trustees by voice vote or by secret ballot. The Chairperson so elected shall be the Head of the Committee of Trustees. 14. A Trustee appointed as Chairperson shall hold the office for a period of 5 years from the date of appointment unless he / she resigns from the said post. 15. The Trustees shall elect from among themselves, a Secretary and a Treasurer and they shall hold their respective office for a period of 5 years unless he / she resigns from the said post. - 16 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 However, the Deputy Commissioner being ex officio Trustee shall not eligible to be appointed as a Chairperson, Secretary or Treasurer. 15.1 Any dispute in relation to the election of the Chairperson, Secretary or Treasurer shall be resolved by the District Judge. IX. DUTIES OF THE COMMITTEE 16. The Committee of Trustees shall (a) Make necessary arrangements for the daily pooja/worship of the Samadhi, photo and idol of the Swamiji; (b) Make arrangements for chanting bhajans and discourses on Thursdays and other auspicious days and festivals throughout the year. (c) promote the preachings Sadhguru and make all efforts to propagate his principles and life history. (d) make necessary arrangements for providing food and accommodation to devotees visiting the Mutt from far off places. - 17 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 (e) make arrangements for promoting discourse/pravachana, Sanskrit Shlokas and Shastras in the Mutt in the early mornings, and evenings; (f) make arrangements for conduct of Monday and Thursday Pooja, and annual festivals such as Guru Poornima, Rama Navami, Datta Jayanthi & Shivarathri and to make arrangements for providing food and prasada to the devotees as per practice and as per the fund provision that would be made available by the Committee for such purpose in accordance with rules; (g) maintain and develop the existing buildings & lands in proper condition and also to acquire such other property as may be required to carry on the day to day activity of the Mutt. (h) Appoint employees and to determine their salaries; (i) To provide facilities to the travellers & devotees within the available. funds; 17. The Committee shall endeavour to: - 18 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 (a) Establish educational institutions for imparting holistic learning and to impart Hindu religious beliefs, traditions and customs; (b) Establish Libraries consisting of religious scriptures texts & books; (c) publish Monthly or Weekly Magazine for religious propaganda; (d) Send Religious Teachers to all places for enhancing religious vigilance amongst the devotees; (e) construct Dharmashaalas and to provide additional facilities to the travellers; 18. In order to implement these objectives, the Committee, can formulate rules for appointment of teachers and to fix their salaries and to conduct examinations, etc. X. POWERS OF THE COMMITTEE OF TRUSTEES: 19. The Committee of Trustees shall have the following powers. However, no such power shall be exercised without prior leave - 19 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 of the District Court if the same is likely to have significant impact on the functioning of the Trust: (a) to raise, collect, solicit, seek, receive and accept any gifts, donations, contributions, endowments, grants and the like with or without specification for application of such gifts etc. from sources both within India and in countries outside India subject, however, to the laws governing foreign exchange from time to time. (b) to borrow, raise and receive loans, advances and other types of financial accommodation from any individual, firm, company or institution of any nature whatsoever whether on the security of the properties of the Trust or otherwise and on such terms as the Trustees may deem fit. (c) to invest the funds of the Trust in such securities or movable properties as the Trustees may deem fit with due regard being had to the provisions of the Income Tax Act, 1961, as amended from time to time and other applicable laws. - 20 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 (d) to acquire whether by purchase, gift, exchange, lease, mortgage or otherwise any immovable property, develop the same or effect improvements thereto by repairs, renovation, reconstruction, demolition and construction otherwise. (e) to open and operate upon any account/s in any bank/s and to close the same any time the Committee of Trustees may deem necessary. (g) to let on hire, hypothecate, gift, exchange, sale or otherwise any movable property and to use, exploit, modify, alter, remodel, repair, renovate or otherwise deal with such property. (h) to sign, make, accept, draw, endorse, negotiate, transfer and otherwise deal with any cheques, drafts, bills of exchanges, promissory notes, bundles and other negotiable or transferable instruments. (i) to institute, defend, prosecute, get impleaded in, adjust, settle, compromise, give up, abandon, refer to arbitration and otherwise participate in any suit or other proceedings including any appeal, revision, reference, - 21 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 review execution, or miscellaneous proceedings, arising from, sign, verify, swear to or subscribe to and file any pleadings, affidavits, affirmations, statements in tender oral and documentary evidence, deliver, deposit or take return of any property whether movable or immovable in the course or otherwise if such suit or other proceedings in or before any Court, Tribunal or other statutory Authority. (j) to engage the services of any advocate, auditor, valuer, contractor, architect, and other professional personnel and to pay for their services. (k) to sign and file any returns, statements, explanations, applications, petitions, and the like with any other statutory authority. (l) to appoint, remove, transfer, retrench, lay off, dismiss or otherwise dispense with the services of, any manager, workman, employee, technician, officer or other members of the staff, fix their remuneration and frame rules regulating their conditions of service; provided that such rules shall be in accordance with - 22 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 any law in force governing such workmen, employee, etc. (m) to apply for and obtain any new, or the renewal of any, license, permit, registration, sanction, permission, grant, concession, quota, privilege, exemption and the like under any law for the time being in force and any service, facility or utility like electricity, water, telephone, telex etc. 20. Notwithstanding the specification of the powers in the preceding Clause, the Board of Trustees shall have all such powers and shall perform or carry out all such acts, deeds and things as may be necessary for the preservation of the sanctity of Sri. Sadguru Sadananda Maharaj and the preservation, protection, safety and security of the Ashram. However, no such power shall be exercised without prior leave of the District Court if the same is likely to have significant impact on the functioning of the Trust. 21. The Trustees shall be competent and are hereby empowered to: - 23 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 (a) Receive any more and further assets in any shape or form as and when given by any of the Trustees or any other persons or institutions in the name of the Trust and to issue valid receipts in the name of the Trust for having received the same. (b) Collect funds by donations, subscriptions, grants, presents or contributions in the form of cash, bank transfer or in kind in the name of the Trust and issue receipt for the same in the name of the Trust. (c) Invest the funds in accordance with the provisions of the Income Tax as amended from time to time so that the income of the Trust will be exempt from Income Tax and to issue valid receipts in the name of the Trust for having received the same. (d) Acquire on lease, purchase, or otherwise in any other manner, the properties (movable or immovable), construct buildings and effect other improvements for the purpose of the Trust. (e) Help and render relief to the poor in all possible way. - 24 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 (f) Make donations or contributions for attaining and in furtherance of the objects of the Trust in the name of the Trust, but with the leave of the District Court. (g) meet/incur necessary expenses in connection with the execution and administration of the Trust. (h) Establish centres in different parts of the Country/State for carrying out the objects of the Trust. (i) create, maintain and manage a think-tank comprising of persons specialized in social, cultural, economic, commercial, scientific, industrial, political and other similar fields. (j) Do all or any of the aforesaid things, transactions or matters and do all such other things as are incidental or conducive to the attainment of the aims and objects of the Trust. 22. None of the powers enumerated above will be deemed to authorise the carrying on of any activity for profit by the Trustees and these powers shall be exercised by the Trustees in such manner that the income of the Trust will be totally - 25 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 exempt from tax under Sections 11k 12 and 13 of the Income Tax Act, 1961 or such other sections or clauses as amended from time to time. Further, no such power shall be exercised without prior leave of the District Court if the same is likely to have significant impact on the functioning of the Trust. 23. The Trustees, if they so choose and for the benefit of the Trust, may delegate by means of a resolution in writing any or all of their powers to any one or more of them or any other person for such time and purpose as they deem fit. XI. FUNCTIONS OF THE OFFICERS OF THE TRUST: 24. The meeting of the Committee of Trustees shall be presided over by the Chairperson of the Trust and in his fabsence, the Trustees present in the meeting shall elect one of them to preside over that meeting. 25. All bank accounts shall be operated by the Treasurer jointly with the Chairperson or the Secretary of the Trust. 26. The District Judge shall have the power to remove/disqualify any Trustee if he/she is convicted for any offence punishable under the I.P.C. or any other penal law of the Country if such - 26 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 conduct brings disrepute to the Trust, by holding a summary enquiry after giving an opportunity of being heard. 27. If the post of a Trustee becomes vacant due to any reason the said post shall be filled by the other Trustees by calling upon fresh applications with the same procedure prescribed above. XII. ASSUMPTION OF OFFICE 28. The Trustees shall assume the office immediately after their names are published by the District Judge in the office of the Trust and by way of News paper publication. 29. The Trustees shall be entitled to form sub-committees to assist them in performing the various activities and to fulfil the objectives of the Trust by nominating from amongst the devotees of Sri Sadguru Sadanand Maharaj. 30. The Committee Members can also formulate duties & rules for such a Committee. XIII. MANAGER: 31. The Committee of Trustees shall call for the applications for the appointment of a Manager to supervise the day to day affairs/activities of the Trust and after interviewing the - 27 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 candidates shall take into account the eligibility & qualifications of the candidates, and shall pass a resolution, by simple majority, approving such person to be appointed as the Manager. 32. The monthly salary of the Manager shall be determined by the Committee of Trustees with the concurrence of the Chairperson. 33. The tenure of the Manager shall be for a period of 3 years from the date of his appointment which may be extended for a further period by the Committee of Trustees by passing appropriate resolution. 34. The Manager shall be the Chief Executive Officer of the Trust and all the employees of the Trust shall be under his supervision and control. XIV DUTIES OF THE MANAGER 35. The Manager (a) Shall abide by all the resolutions passed by the Committee. - 28 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 (b) Shall discharge/comply with all such directions/orders of the committee. (c) Shall ensure proper functioning of day-to-day activities in the Mutt. (d) Shall oversee & ensure proper entries of daily income & expenditure in the Books of accounts with proper receipts & remittance vouchers alongwith supporting documents. (e) Shall sign the daily account books and ledgers of the Mutt. (f) Shall report to the Treasurer about the donations received, from the devotees and other agencies other than the donations received in Hundi and ensure their entries in the books of accounts on a daily basis. (g) Shall prepare the agenda of items for discussion in the meeting and send the same to the Chairman through the Secretary. (h) Shall ensure preparation of the list of works to be executed by the Committee in the coming year and also the - 29 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 budget plan, prepare the annual budget estimate and send the same to the Chairman through Secretary. (i) Prepare the annual report and send the same to the Chairman through the Secretary. (j) Inspect the building/s and such other properties belonging to the Mutt once in three months and furnish their status reports to the Committee. (k) Shall be present during the Committee's meetings, shall advise members about the issues and ensure proper entry of the meeting proceedings in the minutes book. (l) Discharge all activities resolved by the Committee or directed by the Committee to be carried out as per rules. (m) Furnish replies to the points/objections raised during accounts inspection/audit and ensure non-occurrence of such mistakes. 36. The Manager shall be provided with Office within the Trust premises and the office shall be open during the specific timings as determined by the Committee. - 30 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 37. All the employees of the Trust shall discharge their duties under the supervision of the Manager and he shall have the control over allotment of work and regulation of their duties such as grant of leaves etc. 38. The Chairman may, with the concurrence of the Committee of Trustees, after due enquiry, terminate the Manager from the service of the Trust if, (a) If a charge of dereliction of duty is proved; (b) If the charges on him being unsuitable for the post, misconduct & misappropriation of funds are proved; (c) If it is proved that continuing him in the post shall be detrimental to the interests of the institution; after giving him an sufficient opportunity to put forth his defence against the charges levelled upon him by giving one month's notice. XIV. MANAGEMENT BY THE COMMITTEE: 39. All the fixed & movable assets of the Trust shall be in the custody of the Committee and shall be the absolute property of the Trust. The Committee shall have a seal of its own. - 31 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 40. The Committee shall maintain proper registers showing all the assets and liabilities including the Statement of Accounts with jewelry such as Gold and Silver articles, Pooja items, precious stones and various other articles used in the performance of various rituals and the personal belongings left behind by the Swamiji. 41. All the assets of the Trust shall be in the name of "Sree Dutta Guru Sadananda Maharaj Meditation Centre". 42. The Committee shall meet atleast once in three months in the premises of the Mutt at Bengaluru and the agenda of the meeting shall be communicated atleast fifteen days in advance to all the members of the Committee and the copy of the same shall also be sent to the District Judge. The minutes of such meeting shall be recorded and signed by all the Trustees and the copy of the same shall be forwarded to the District Judge and obtain the acknowledgement. 43. The Chairman and the Treasurer shall check the accounts and the Treasurer shall place the accounts together with annual report and Chairman's administrative report of the previous - 32 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 year and budget estimate for the next year for approval by the Committee. 44. The Audited accounts and balance sheet shall be prepared by a certified Chartered Accountant appointed by the Committee, at the end of each financial year and the same shall be kept in the Office of the Mutt for scrutiny. 45. The Committee shall furnish its reply to the anomalies & irregularities pointed out by the Chartered Accountant, if any and after acceptance of the same by the Auditor the report with budget estimate shall be submitted to District Judge for his approval. 46. The Committee can delegate powers to the Chairman to institute/file suits and to take such steps in accordance with law by passing a resolution to defend or protect the rights of the Mutt as the case may be. 47. No suit shall be compromised without the prior approval of the District Judge. 48. The Committee shall be empowered to employ such persons as required for the effective performance of the activities of the - 33 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 Mutt and shall have the powers and jurisdiction to determine their salaries, terms of employment and other service conditions. 49. The Committee members shall be entitled to open and count the money deposited in hundi boxes every week, which shall be video recorded and the money counted shall be entered in the cash book. 50. The Committee shall make proper security arrangements to keep the valuable movable assets in a safe & secure manner. 51. The donations made in cash and kind in the Mutt and at the Samadhi of the Swamiji shall be entered in a separate register by the Treasurer with the assistance of the Manager. 52. Repairs and construction of the buildings costing less than Rs.1,00,000/- shall be undertaken by the Committee of Trustees and costing more than Rs.1,00,000/- shall be undertaken by calling tender. XV. RIGHTS OF THE TRSUTEE / COMMITTEE MEMBERS 53. Every Trustee / Member shall be entitled to: - 34 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 (a) Raise such question pertaining to any activity of the Trust; (b) Seek for required information; (c) Inspect the books of accounts, Assets and liabilities, inspect and supervise the construction of any building, any other work undertaken and such other information as may be required in promoting the objective of the Trust. (d) Supervision of the daily activities of the institution and the duties discharged by the employees, any repair works or other works and if any anomalies are noticed, to bring the same to the notice of the Chairman; 54. The employees shall provide all information to the members and unless otherwise instructed by the Chairman, they shall provide all information as sought for. 55. Any three members can submit a request to the Chairman in writing for calling a meeting to discuss an issue. Within 15 days of receipt of such request in writing, a meeting shall necessarily be called by the Chairman. In the event of his - 35 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 failure to do so without valid reasons, the members can make a submission to the District Judge to take action as deemed fit by him. XVI. POWERS & DUTIES OF THE CHAIRPERSON, SECRETARY AND TREASURER: Chairperson: 56. All the officers of the Committee, Manager, Employees & Servants and all the Trust's assets shall be under the general control of the Chairperson. All the proposals & submissions made through this scheme shall be carried out under his direction & supervision. 57. The Chairperson shall preside over all the meetings of the Committee. (a) The Chairperson shall supervise the financial & executive functions and ensure that the day to day expenses are met with by raising funds and make suitable budgetary allocations. (b) To make all letter correspondence and to sign & send the letters addressed to District Judge, and bring - 36 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 to his knowledge all the relevant issues pertaining to administration of the institution. (c) To enter his name with respect to all the assets of the Trust and to deposit all the amounts received, to sign the cheques, make remittances and receive tenders. (d) All contracts, rent/lease letters got written and letters issued should be in his name. All letter correspondence made from the Trust and those received by the Trust should be in his name. (e) All disputes & litigations initiated either from Trust's end or against it shall be in his name only. (f) He shall file suits & appeals and also contest the cases by nominating counsels. He shall put his signatures to all the original suits, vakalathnamas and on all papers wherein his signatures are required. He should receive summons & notices. (g) He shall inspect the cash & goods books/registers atleast once a month and should put his signature in - 37 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 the accounts books for having carried out such inspection. (h) To give leave upto one week to the employees and to make alternative arrangements in that regard. (i) To appoint/transfer/suspend employees for a period of one month, subject to consent by the Committee, and to levy penalty of upto Rs. 5/-in a month. (j) To give instructions/orders for hearing on any issue/subject by the Committee. (k) Issuance of licence for counting the donations received through cash & kind/goods and to sign the same. 58. In extreme circumstances, he can keep in abeyance for a period of one month, implementation of any resolution by the Committee or execution of any work, and can bring the same to the notice of the District Judge along with his endorsement, for necessary action. Secretary: - 38 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 59. In the absence of the Chairman, the Secretary shall be entitled to discharge the powers and functions of the Chairman subject to the restrictions provided in this Scheme. 60. He shall supervise/control the works/duties assigned to Manager & Employees, and he shall oversee/ensure that such works are carried out satisfactorily and that daily activities are carried out diligently by giving suitable orders to that effect, and also ascertain that all demands are duly fulfilled. 61. He shall fix the date, time & place of the meeting and submit the list of agenda items to the Chairman. 62. He is empowered to levy penalty of upto Rs.100/- to any employee in a month for dereliction of duty or disobedience. 63. Any irregularities, anomalies or misconduct on the part of the employees shall be brought to the notice of the Committee & Chairman by the Secretary. All other information/issues, which are considered necessary, shall be brought to the notice of the Chairman by the Secretary. Treasurer: - 39 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 64. He shall submit the annual budget estimate papers & administration papers to the Chairman. 65. He shall inspect the accounts books at least once in a week and sign the same, and shall ascertain entries of all remittances and inspect the goods. XVII. LIFE PATRONS, & LIFE-MEMBERS 66. The Committee shall enroll devotees who wish to make monetary contributions as "Patrons, & Life-Members". 67. Persons contributing a sum of Rs.100,000/- and above or such other higher amount as may be determined by the District Judge shall be the Patrons of the Trust. 68. Persons contributing a sum of Rs.50,000/- and above or such other higher amount as may be determined by the District Judge shall be the Life members of the Trust. 69. The Committee shall maintain a register of such Patrons, & Life Members. The Chairman shall issue receipts for the amounts received from such persons. 70. The patrons alone shall be entitled to be the Chairperson of the Trust for the next term and the Life members shall be - 40 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 entitled to be Trustees of the Trust subject to both of them fulfilling all other prescribed qualifications. 71. The Patrons and the Life Members shall be entitled to participate in the meetings of the Committee specially convened with regard to conduct of any special occasion and Poojas but however will not be entitled to cast their vote. XVIII. MEMBERS OF THE INSTITUTION 72. Persons remitting Rs.10,000/- or more or such other higher amount as may be determined by the District Judge in a year can be admitted as ordinary members to the Trust. However, they will not become the Trustees only by virtue of being the members of the Trust. 73. The Committee shall maintain a register of such members. The Chairman shall issue receipts for such remittances of amounts. 74. The Chairman shall determine the time and call for meeting of the Trust’s members, patrons and life members on any day during the annual Gurupoornima celebrations in the Trust's premises and shall read out the brief summary of the works - 41 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 undertaken during the year and shall explain the financial strength of the institution and also its requirements. 75. Any of the members can, in such a meeting, (a) ask questions; (b) seek for information; (c) make suggestions. 76. The Chairman shall ensure that the same are entered in the work register and place the same before the Committee, and also ensure publication of resolutions passed on them. 77. The instructions & suggestions made from the Patrons & Life Members and those submitted during the annual meeting and the resolutions passed by the Committee on them shall be included in the annual report. 78. The annual report and the financial paper should be sent to each of the Patrons, Fellows, Life Members and each member of the institution. XIX. MEETINGS OF THE COMMITTEE 79. The Secretary shall discuss with the Chairman with respect to the issues to be deliberated by the Committee and issue - 42 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 notice of the Committee's meeting giving details of date, time & place of meeting along with agenda of items, and ensure service of the same to the members. Every member receiving the notice should acknowledge the same by putting his signature, date & time of receipt. The notice of the meeting should be given at least 7 clear days in advance. The Chairman shall fix the venue of the meeting in accordance with the nature of issues. 80. The Chairman or in his absence, the Secretary shall be Chairman of the meeting. In the event of absence of both, the members present in the meeting shall elect one amongst those present as Chairman of the said meeting. Such elected Chairman of the meeting shall have all the powers of the Chairman. There shall be quorum if there are more than fifty percent (50%) of the total number of Trustees. 81. If there is no quorum even after waiting for 30 minutes, then the Chairman shall adjourn the meeting to another date by issuing fresh notice. 82. Any work/item, not included in/forming part of the budget estimate and if its expenditure is costing more than - 43 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 Rs.1,00,000/-, the same may be reconsidered, since the expenditure on special days / events referred to in para 16(f) would exceed Rs.50,00,000/- (approximately), approval of the District Judge shall be obtained for incurring such expenditure. While drawing proceedings of the meeting with respect to incurring of such expenditure, atleast 6 members shall be present till the end of the meeting. 83. Attendance Book of the Members and Minute Book shall be kept. Every member who is present in the meeting shall sign in the Attendance Book. This shall be proof of such member being present in the meeting. All the proceedings shall be written in the Minute Book in Kannada language, and the same shall be read out to the members. The Chairman shall sign the same at the end of the meeting. 84. Unless & until not stated otherwise, all items/issues should be resolved only through majority. If the votes are tied then Chairman shall have deciding vote. 85. The Chairman shall ensure that proper discipline is maintained in the meeting and every member shall abide by his orders. The serial number of the items to be deliberated by him have - 44 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 to be marked, and if he were to feel that any one issue is being deliberated upon for too long, he can end the discussion and place the same for voting without discussing much on that issue. XX. ACCOUNTS & ACCOUNTS VERIFICATION 86. The Committee shall keep & maintain the following books; (a) Movable Assets Register with detailed description for their identification along with their estimated cost (b) Accounts & Daily Books as stated below (c) Receipt Books showing the amounts received (d) Dead Stock Register (e) Register showing the donations received through cash & goods (f) Apart from the minute book and others, Committee can also keep & maintain accounts books as resolved. However, accounts books as advised by the Chartered Accountant should be necessarily kept & maintained. 87. All the amounts shall be deposited in a Nationalised Bank at Bengaluru approved by the Committee. - 45 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 88. All the amounts received as maintenance & rent for buildings & lands shall be deposited in Bank Account. The expenditure incurred towards Municipality taxes, cesses and amounts paid as salaries to the employees appointed in Head Office shall be drawn from this account. 89. The rents, if any, received and the amount in the Hundi and donations received by way of cash & kind during Utsava and other special occasions shall be deposited in the Trust's Account. The expenditure incurred towards daily activities, specified activities and towards the employees engaged in the office and other activities of the Trust shall be drawn from this account. 90. The salary of the Manager and other employees shall be paid from Bank Account of the Trust. 91. If at any point of time, it is found that the amount available in any account is not sufficient to meet the anticipated expenditure for any specific work, which is to be met from such specific account, then the amount so required can be drawn from any other account, after passing of resolution to that effect by the Committee. - 46 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 92. All demands with respect to supply of required items shall be submitted in writing to the Principal office, and Principal office shall make arrangements for ensuring supply of these items and the expenditure shall be borne from the said account. 93. Sufficient funds shall be kept reserved for the annual repairs of the buildings. 94. The Committee shall make all efforts to keep in reserve the amount required to meet the expenditure anticipated for the next year, at all points of time. However, this rule shall not be applicable to the amount reserved from out of the subscription amounts for specific works and donations received for specific works. In such reserved amounts are more than the expenditure anticipated for the next 5 years, then such additional amount shall be, after making necessary submission to that effect before the District Judge, deposited in the public securities. XXI. AUDIT 95. The Committee shall appoint a Chartered Accountant to audit the accounts of the Mutt and the same shall be approved by the District Judge, Bengaluru City. - 47 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 96. The annual fee/emolument payable to the Auditor shall be fixed as Rs...../. However, if it is found that the auditing work is more, District Judge can enhance this amount. 97. The Auditor shall audit the accounts within 3 months from the date of completion of official year, and shall submit the annual report along with his report to the Committee, duly submitting a copy of the same to the District Judge. 98. If it is found necessary, the Auditor can suggest the Committee to keep & maintain additional accounts books, and shall be a guide to the Committee with respect to all issues pertaining to accounts. 99. After discussing with the Committee, the Chairman can request the Auditor to inspect the accounts at any time during the year, and can seek for his suggestions & directions. 100. The Auditor's Report shall be read out before the Committee and reply to the name shall be sent to the District Judge. XXII. REPAIRS & WORKS 101. All repairs & works shall be carried out as decided by the Committee, either by giving contract if its value is less than - 48 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 Rs.1,00,000/- and by inviting tenders if tis value is more than Rs.1,00,000/-. XXIII. BENEFICIAREIS OF THE TRUST: 102. Every Devotee, irrespective of caste, sub-caste, sect, sub- sect, community, sub-community to which he or she may belong and place of birth, domicile or residence of such person, whether a Devotee as of now or may become one, shall be entitled to the benefits of the Trust. 103. The Trustees may, on approval by the majority of the Committee of Trustees, extend the benefits of the Trust to any person or class of persons irrespective of religion, community, caste, creed or sect to which he or she may belong, if such person shall meet the qualification as to economic status that the Trustees may prescribe. 104. No person shall, as a matter of right, demand any benefit from the Trust whether in the form of money, concession, privilege, property of any kind or a share in the income of the Trust or otherwise. To meet the expenses on account of travel/transport for carrying out Committee's works, the Committee can formulate rules in regard to travel allowance & daily allowance payable to office bearers, members, manager, employees. In the result, I pass the following:- ORDER (i) Both RFA No.1709/2023 and RFA No.1537/2023 are hereby disposed of. - 51 - NC: 2025:KHC:16139 RFA No. 1537 of 2023 C/W RFA No. 1709 of 2023 (ii) The impugned judgment and decree dated 21.06.2023 passed in O.S.No.7986/1996 passed by the I Addl.City Civil and Sessions Judge, Bangalore, is hereby set aside. (iii) The suit in O.S.No.7986/1996 is hereby disposed of in terms of the scheme of management, administration etc., of the subject Trust as indicated in the body of this order.
