The learned counsel appearing on either side submit that the matter has been compromised between the parties. A joint compromise petition is placed on record and is duly signed by the parties as well as their counsel. 2. The terms of settlement as per the compromise petition reads as follows: i. In full and final settlement of all the disputes that are pending by and between the parties to this Appeal, the Appellant No.1 has agreed to pay the Respondent a total sum of Rs. 30,00,000/-(Rupees Thirty Lakhs Only), towards payment of all dues and outstandings owed to Respondent, including but not limited to the above case and the pending criminal revision petition bearing No.

631/2025, pending before this Hon'ble Court. Steps are being taken by the parties herein to seek disposal of Crl Rvn Ptn No. 631/2025, by filing a joint memo to this effect. Accordingly, the said criminal case bearing Crl Rev Ptn No. 631/2025 shall be settled between the parties in accordance with this settlement without seeking any further payments from the Appellants in that case. ii. The Respondent herein has accepted the said proposal of the Appellants and has agreed to receive the said sum of Rs.30,00,000/- (Rupees Thirty Lakhs Only) from the Appellants in full and final settlement of its entire claim against the Appellants in the manner mentioned herein below. iii. It is submitted that the settlement amount of Rs. 30,00,000/-(Rupees Thirty Lakhs only) has been paid by the Appellants to the Respondent vide Demand Draft bearing No. 867048 dated 24.09.2025 drawn on Federal Bank, Gandhinagar Branch in favour of "Etrans Solutions Private Limited". Parties agree that this payment of Rs. 30,00,000/- is towards full and final settlement of all the disputes pending between the Appellants and the Respondent, including, but not limited to, the present commercial appeal and case bearing Crl Revision Petition No. 631/2025 pending before this Hon'ble Court. iv. It is submitted that the said Demand Draft bearing No. 867048 dated 24.09.2025 issued for a sum of Rs.
30,00,000/-(Rupees Thirty Lakhs only) is being handed

over by the Appellants to the Respondent today i.e., on the date of acceptance of the instant joint compromise petition by this Hon'ble Court, towards full and final settlement of all disputes by and between the parties herein. In view of the afore-said amount remitted by the Appellants to the Respondent, the Appellants have discharged all outstandings owed to the Respondent. v. The Parties herein agree that the aforementioned sum of Rs. 30,00,000/- (Rupees Thirty Lakh only) is towards the full and final settlement of all the claims, either past, present, or future, which the Respondent has/ may have against the Appellants. The Parties herein agree that the Appellants are not liable to make any further payments to the Respondent and that the Respondent is not entitled to receive any further amounts from the Appellants whatsoever. No other cases can be filed by the Respondent against the Appellants on the same or similar cause of action. vi. The Parties herein further agree that all or any amounts deposited by the Appellants before the Courts in connection with the above case, if any, shall be returned to Appellant No.1 and the Respondent shall not have objection for refund or return of any amounts to Appellant No. 1. vii. In view of the above settlement, the Appellant herein withdraws its counter claim of Rs. 69,80,200/- (Rupees Sixty-Nine Lakhs Eighty Thousand Two Hundred

only) made against the Respondent. Accordingly, parties agree that the Respondent is not liable to make any payment to the Appellants or any one of them. 3. The joint compromise petition is accepted. It is submitted that the amount of Rs.30 lakhs referred to in the terms of the settlement is paid by the appellants by way of demand draft today and the same is accepted by the learned counsel for the respondent. 4.
In the above view of the matter, the appeal is
disposed of in terms of the compromise. The Registry shall draw up the decree accordingly.
5. The Court fee shall be refunded as applicable to the appellants on proper identification.
