JUSTICE B M SHYAM PRASAD ORAL ORDER The learned counsel for the petitioner has filed a memo for withdrawal which reads as under: "The Petitioner submits that in furtherance to the settlement talks that were ongoing between the Petitioner and the 1st Respondent from 18.01.2024, the 1st Respondent, by way of its 106th, 107th and 108th Board of Directors Meeting dated 27.08.2024, 14.11.2024 & 15.03.2025, respectively, has resolved that on payment of Rs. 3,19,88,441/- (on such terms as is mutually agreed between the Petitioner and the 1st Respondent) and on this Petitioner withdrawing the above writ petition, the 1st Respondent would withdraw the Termination - 4 - HC-KAR NC: 2025:KHC:38142 WP No. 28653 of 2023 Order dated 28.11.2023. This has been communicated by the 1st Respondent to the Petitioner by way of Endorsement-3 bearing No. BMSM/KK/SANCHARA/VANIJYA/ 1424/ 2025-26 dated 30.06.2025, a copy of which is produced herewith as DOCUMENT NO. 1. The intention of the 1st Respondent has also been captured in the Petitioner's reiteration of the terms for resolving the issue vide its letter dated 29.07.2025, which has been duly endorsed by the 1st Respondent. Copy of the Letter dated 29.07.2025 with the endorsement from the 1st Respondent is produced herewith as DOCUMENT NO. 2. As the 1st Respondent has unequivocally stated that on the withdrawal of the present petition, it shall immediately withdraw the Impugned Termination Order, and that the same has been done with the approval of its Board of Directors, the Petitioner humbly craves leave of this Hon'ble Court to WITHDRAW the present writ petition, with liberty to revive the same in the event the Respondent takes any coercive steps in furtherance to the Termination Order dated 28.11.2023." - 5 - HC-KAR NC: 2025:KHC:38142 WP No. 28653 of 2023 The petitioner proposes to withdraw the petition to facilitate closure in terms of the compromise and as such, the petition is dismissed as withdrawn.
