1. With the consent of learned counsel for the parties, the matter is heard finally.
2. By way of the instant petition, the petitioner has prayed for the following reliefs:- 10.1 This Hon’ble Court may kindly be pleased to call for the entire records pertaining to the case of the petitioners from the possession of the respondents for its kind perusal. 10.2 That, the Hon’ble Court May kindly be pleased to direct the Respondents, to decide the application / representations of petitioners, in the interest & accordance with the law. 10.3 That, the Hon’ble Court May kindly be pleased to direction against the respondent authorities take necessary legal action in accordance with law. 10.4 That, any other relief (s) which this Hon’ble Court may deemed fit and proper in favour of the petitioner Any kindly be passed.

Learned counsel for the petitioner would contend that the petitioner is the second largest shareholder of company i.e. 19% of SNT Rail Automation Private Limited and the grievance of the petitioner is that the company’s credentials have been misrepresented by some propitiatory firm to get the railways contract work without there being any proper consent of Board of Directors of the Company and the petitioner has filed different representations before the respondents, however, the respondents have not replied till date to the petitioner. He would next contend that the respondent authorities
3 / 4 may be directed to decide the representation of the petitioner made before the respondent authorities.

Per contra, learned counsel for the respondents would contend that the perusal of the documents reveal that there is a dispute between the petitioner and the private person namely Raj Kumar Sharma. She would further contend that the petitioner has not made him party as a respondent. She drawn attention of this Court towards the affidavit submitted by Raj Kumar Sharma, wherein para 4 reads as under:- 4) That I have created a new company SNT Rail Automation Private Ltd. in which I am the Director holding major share and willing to transfer all credential, assets and liabilities of National Engineering to SNT Rail Automation Private Ltd.
5. I have heard learned counsel for the parties and perused the documents with utmost circumspection.

Perusal of Annexure P/3 shows that there is a dispute between the petitioner and Raj Kumar Sharma which relates to a company credentials before the National Company Law Tribunal, Cuttack Bench which is still pending before the said Tribunal. Admittedly, the petitioner has already availed the alternative remedy before the NCLT and it is also pertinent to mention here that the petitioner has sought relief against Raj Kumar Sharma, but he has not made him
4 / 4 party, therefore, the petition is defective one. Therefore, I am not inclined to entertain this petition.
