Hemchandra, learned senior counsel assisted by Ms. Gunapriya, learned counsel appearing on behalf of the petitioners; Mr. S. Nepolean, learned senior counsel assisted by Mrs. RK Emily, learned Dy. GA appearing on behalf of the respondent Nos. 1 & 2 and Mr. S. Rajeetchandra, learned counsel appearing on behalf of respondent Nos. 3 & 4. [2] In the present case notice dated 26-08-2025 was issued by the former Secretary of the Public Health Engineering Department Contractors Association, Manipur, notifying to all the WP(C)No. 902 of 2025; MC(WP(C)) No. 289 of 2026 & MC(WP(C)) No. 827 of 2025 Page 3 member of the association that a Special General Body Meeting will be held on 13th September, 2025 at 8 am at Luwangsangbam Awang Pukhri Achouba Community Hall for the election of Managing Committee members of the Public Health Engineering Department Contractors Association, Manipur. Thereafter, the former President of the said association wrote a letter dated 29- 08-2025, to the Ex-Secretary of the said association informing to cancel the Notice dated 26-08-2025 and for convening an Executive Committee Meeting for the purpose of discussing the place and time for holding the said Special General Body Meeting. Pursuant to the said letter, the former Secretary of the said association issued a notice dated 01-09-2025 informing to all the Executive Members of the said association that an emergency meeting will be held on 03-09-2025 for discussing the agenda of convening a General Body Meeting of the association. [3] It is also on record that subsequently, the former Secretary of the said association issued a notice dated 06-09-2025 publishing final Voters/Members list of the association and the election scheduled to be held on 12-09-2025 in the Manipur Press Club, Majorkhul, Imphal at 9:00 a.m. Pursuant to the said notice, a Special General Body Meeting was held on the scheduled date i.e. on 12-09-2025 and in the said Special General Body Meeting, a WP(C)No. 902 of 2025; MC(WP(C)) No. 289 of 2026 & MC(WP(C)) No. 827 of 2025 Page 4 resolution was taken for election of 7(seven) members as Managing Committee Members of the said association. The said elected members are the petitioners in the present writ petition. [4] It has been submitted that after holding the Special General Body Meeting and election of the petitioners as the Executive Committee Members of the said association, the respondent Nos. 3 & 4 filed a complaint to the Registrar of the Societies, Government of Manipur alleging irregularities in holding the Special General Body Meeting and election of the Executive Committee Members of the said association. After considering the complaint filed by the respondents No. 3 & 4, the Registrar of Societies, Government of Manipur (respondent No. 2) issued an order dated 03-11-2025 cancelling the letter dated 01-10-2025 of the Office of the Registrar of Societies, Manipur, acknowledging the election of the new Managing Committee members and election of Office Bearers of the said association and directing to conduct a fresh election strictly in compliance with the election procedure as provided under Bye Law of the Association. [5] The petitioners feeling aggrieved, filed the present petition assailing the said order dated 03-11-2025 issued by the respondent No. 2. WP(C)No. 902 of 2025; MC(WP(C)) No. 289 of 2026 & MC(WP(C)) No. 827 of 2025 Page 5 Mr. M. Hemchandra, learned senior counsel and Mr. S. Nepolean, learned senior counsel, by referring to Regulation 18 of the said Society, submitted that a clear fifteen days notice is required to be given to all the members specifying the date, hour and place fixed for holding the General Body meeting and informing the business to be transacted at the said meeting. It has also been submitted that in the present case, while issuing the notice and holding of election, the requirement of law as provided under Regulation 18 has been violated. Situated thus, all the counsel appearing for the parties unanimously agreed that the present writ petition can be disposed of by issuing a direction to all the parties to convene a fresh General Body Meeting of the association for the purpose of electing new Managing Committee members of the said association strictly in compliance with law. The learned senior counsel appearing for the petitioner, however, submitted that pending election of the new Executive /Managing Committee members of the said association, the present petitioners may be allowed to continue as office bearers of the said association. [6] Mr. S. Nepolean, learned senior GA and Mr. S. Rajeetchandra, learned counsel appearing for the respondents fairly agreed to the proposal submitted on behalf of the petitioner and they also submitted that the present writ petition can be WP(C)No. 902 of 2025; MC(WP(C)) No. 289 of 2026 & MC(WP(C)) No. 827 of 2025 Page 6 disposed of as proposed by the senior counsel appearing for the petitioners. [7] Taking into consideration the unanimous agreement arrived at among all the learned counsel appearing for the parties, the present writ petition is disposed of with the following directions :- (i) Mr. Oinam Arunkumar Singh (petitioner No. 3) who is now acting as the Secretary of the said association shall issue necessary notification for convening a General Body Meeting of the said association for the purpose of election of new Executive Committee/Managing Committee Members of the said association within a period of 15 days from today. The said notice should be published in two well circulated local dailies (one in Manipuri and another in English) consecutively for three days. (ii) In the said notification, a period of not less than 15 days should be given for convening the said General Body Meeting and the notice should also specifically mention the date, time and venue for holding the General Body Meeting. (iv) it is made clear that pending completion of the election of new Executive Committee/Managing Committee Members of the association as directed above, the present petitioners will be allowed to continue as Office Bearers of the said association.
