Bramhani Industries Limited (hereinafter referred to as the respondent company) is a company incorporated on 17.05.2007 under the provisions of the Companies Act, 1956 (‘the Act’) having its registered office at Bramhani Hills, Jammalamadugu, Andhra Pradesh. The authorized share capital of the respondent company is Rs. 14,00,00,00,000/- divided into equity shares of Rs.10/- each. The issued, subscribed and paid up capital of the respondent company is Rs. 12,89,18,57,960/- divided into equity shares of Rs.10/- each fully paid up. The object of the respondent company is to carry out business of manufacturing, producing, casting, procuring, mastering, buying. selling, converting and in other ways dealing in all types of steel, steel ferrous metals, to distill refine and casting, ally, etc., and other non 3 BSBJ C.P.No.307of 2015 produce zinc, zinc oxide and zinc chloride. It also carries on business of manufacturing, producing, processing etc. The respondent company approached the petitioner for a short term loan of Rs.5,00,00,000/- for business purpose and assured the petitioner that it would repay the entire loan with interest thereon on or c. before 31.03.2015. Relying on such assurance, the petitioner transferred the loan amount through RTGS in the Andhra Pragati Gramena Bank account of the petitioner on 17.10.2014 bearing No.91036184943. The loan amount was due on 31.03.2015 along with interest. d. The respondent failed to provide any response to the various reminders of the petitioner with respect to repayment. Thus, a notice dated 16.05.2015 under Section 433 of the Companies Act was issued by the petitioner to the respondent whereby the petitioner requested the respondent to pay an amount of Rs.5,00,00,000/- and interest amount of Rs.34,10,959/- as on 31.03.2015 which has been outstanding from March 31, 2015, within 21 days of the receipt of the said notice. Since the payment was not made, the petitioner has a right to initiate winding up proceedings. e. , The respondent company is commercially insolvent and therefore, it is just and necessary that the same be ordered to be wound up by an 4 BSB,J C.P.No.307 of 2015 order of this Court in accordance with Section 433 read with Section 434 of the Companies Act, 1956. The petition has been filed within the statutory period of limitation. The petitioner is a creditor of the respondent company under the provisions of Section 439(1 )(b) of the Companies Act, 1956 and is entitled to present this petition. f. Pending the company petition, the respondent has come up for settlement that the respondent would be making payment in 17 equated instalments and filed memo vide CP USR No.55522 of 2021. In pursuance of the same, this Court directed the respondent to make payment of Rs.25,00,000/- per instalment. 3. The subsequent contention of the petitioner is as below; 4. a. Thereafter, the respondent never adhered to the schedule and delayed the payments of instalments on various occasions, submitted that the respondent, on 17.10.2024, had issued post dated It was cheque dated 20.11.2024 for an amount of Rs.25,00,000/- vide cheque Andhra Pragathi Grameen Bank, bearing No. 106019 drawn on Proddatur Branch as part of the agreed schedule and the petitioner had deposited the cheque on 21.11.2024 with its banker. State Bank of India, Bhavnagar Branch and the same had been returned for the 5 BSB,J C.P.No.307 of 2015 reason “funds insufficient” and the same had been intimated to the petitioner on 21.11.2024 by its banker. Having knowiedge dishonor of the cheque, neither there about the was any response from the respondent company nor were payments made. b. On the earlier occasion also, the demand drafts issued by the respondent were dishonoured and thereafter on 30.4.2004, the respondent issued a post-dated cheque, dated 15.05.2024 for an amount of Rs.50,00,000/- and on 16.05.2024, when the cheque was presented, it was dishonored for insufficient funds. Thereupon, on persistent follow up made by the petitioner, an amount of Rs.25,00,000/- was deposited on 31.05.2024, but, the balance of Rs.25,00,000/- has not been paid, undertaking given vide At regular intervals, the respondent violated memo, dated 28.10.2021, and flouted the the schedule. 5. The company petition was admitted on 09.11.2017. Thereafter, the matter underwent several adjournments, learned counsel representing the counsel for the Sri Pranay Bahuguna, respondent appeared through video conferencing on 19.12.2024 and submitted that payments were being made as per the schedule and requested further time. In reply, the learned counsel for the petitioner submitted equated instalments proposed in the year 2021, so far, only three (3) that out of 17 6 BSB,J C.P.No.307 of 2015 instalments had been paid and further that the cheques given had been dishonoured and one demand draft given had also been encashed by the respondent before the petitioner encashed the same. The date of presenting the company petition is 03.09.2015. Since the presentation of the company petition is after expiry of three weeks’ time allowed to the respondent company, it can be said that the presentation of the petition is in accordance with section 434 of the Act.
