1. Though there is no formal Application under Order XXIII Rule 3 of CPC, the parties have made a mutual request for this Court to pass a Decree on the basis of the Settlement Agreement dated 15.04.2026 (hereinafter referred to as “the Settlement Agreement”) which has been entered into between the parties. 2. The present Suit has been filed with the following prayers:
“A. Pass a decree of declaration declaring the act of termination of settlement agreement dated 12.01.2022 by the Defendant No.1 bad and void in law;
B. Pass a decree of specific performance of the settlement agreement dated 12.01.2022, thereby directing the Defendant No.1 to pay the remaining balance of Rs.4,18,00,941/- (Rupees Four Crores Eighteen Lakhs Nine Hundred Forty One Only) along This is a digitally signed order. with penal interest at the rate of 24% p.a. from the date of default of settlement agreement i.e. 12.09.2022 till the date of realization of the entire amount or in alternate defendant no.1 may be directed to hand over the physical possession of the 26 Plots to the Plaintiff and execute sale deeds in respect of 26 Plots in Block A of Project Land bearing no. 74-99 each having area admeasuring 113.02 sq. yds. in Block A as per the approved layout plan, having an aggregate area admeasuring 2938.52 sq.
yds (approx.) in favor of the Plaintiff forthwith;
C. Pass a decree of Mandatory Injunction in favour of the Plaintiff against the Defendant No.1, thereby restraining the Defendant No.1, their agents, nominees, assigns, heirs, directors or anybody else acting on their behalf, from alienating, selling, encumbering or creating any third party rights, title or interest in the 26 Plots of Block A of Project Land bearing no. 74-99 each having area admeasuring 113.02 sq. yds. in Block A as per the approved layout plan, having an aggregate area admeasuring 2938.52 sq. yds (approx);
D. Pass such other or further order(s) as this Hon’ble Court may deem fit and proper in the facts and circumstances of the case.”

During the pendency of the present Suit, the Parties were referred to the Delhi High Court Mediation and Conciliation Centre vide Order dated 11.02.2026 for exploring the possibility of an amicable settlement. 4. The Parties have settled their inter se disputes vide the Settlement Agreement, which is being reproduced as under:

5. The Settlement Agreement has been entered into between the Plaintiff and Defendant No.1.
It is stated that since the Defendant No.2 is only an escrow agent and no relief has been claimed against it, the Defendant No.2 is not a necessary party to the Settlement Agreement. 6. In the Settlement Agreement, the Defendant No.1 has agreed to execute Sale Deeds in respect of the Suit Properties in favour of the Plaintiff and hand over possession for a consideration of Rs.1,18,00,000/- calculated at Rs.29,50,000/- per plot. It is also stated that possession would be handed over within three months from 15.04.2026. The Defendant No.1 has also This is a digitally signed order. agreed to discharge outstanding liability of Rs.73,00,000/-. The other formalities have to be done as mentioned in the Settlement. 7. Authorized Representatives of the Plaintiff and the Defendant No.1 have joined the proceedings through Video Conferencing. The Authorized Representatives of the Plaintiff and the Defendant No.1 have been identified by their respective Counsels. They state that the matter stands settled and that they have perused the Settlement Agreement. They state that the Plaintiff and the Defendant No.1 are willing to abide by the terms of the Settlement Agreement. 8. This Court has gone through the Settlement Agreement, the terms of which are legal and lawful. The Settlement Agreement has been signed by the Parties. 9. The Parties shall be bound by the terms of the Settlement Agreement. The Parties undertake that they would not deviate from the Settlement Agreement and would co-operate to ensure that the Settlement Agreement is implemented. 10. In view of the fact that a settlement has been arrived at between the Parties, the Suit is disposed of and decreed in terms of the Settlement Agreement entered into between the Parties.
