Governing Body a) The Governing Body will consist of 15 persons of whom one shall be appointed as Chairman, one as Vice-Chairman and another as the Chief Executive Officer of -the Board. While the Hon’ble Chief Minister, Punjab shail be the Chairman, the Animal Husbandry Minister shall be Vice-Chairman, Administrative Secretary Animal Husbandry shall be Chief Executive Officer and Additional Chief Executive Officer shall be appointed by the State Government. The Board is a “registered society” under the Registration of Societies Act, 1860. Interpretation Clause In this Memorandum & the rules made there under unless the context otherwise requires. a) “The Board’ means “The Punjab Livestock Development Board.” b) ‘The Governor/ means the Governor of the Punjab. c) “Chairman’ means the Chairman of the Governing Body of the Board. d) “Vice Chairman’ means the Vice-Chairman of the Board. e) , ‘Chief Executive Officer’ means the Chief Executive Officer of the Board. f) “Bye-laws’ means the bye- laws which may be made by the Directors of the Board under these rules and which may for the time being be in force. g) ‘Public Holiday’ means a public holiday within the meaning of the Negotiable Instruments Act, 1881 (XXVI of 1881), provided that no day declared by the Central Government to be a public holiday shall be deemed to such a holiday in relation to any meeting unless the declaration was notified before the issue of the notice convening such meeting. h) ‘The Register’ means ‘the register of members’ to be kept pursuant to Societies Act.’ Dis Se le bring of the Board es thn can may be the Members assembled at a Board meeting. 0) ‘Office’ means the registered office for the time being of the Board. k) ‘Person’ includes firms, associations, partnerships and corporation. 1) ‘Seal’ means the common seal for the time being of the Board. m) ‘In writing’ or ‘written’ includes printing lithography and other modes of reproducing or representing works in visible form. in) ‘Month’ means calendar according to the Gregorian Calendar. ©) “Year” means the Financial year from 1” April to 31" March, p) ‘The Act” means the Societies Act, Pt anal ie ications thereof for the time being in force. ‘Dividend’ includes bonus. Sapuieadasry pee O° tes ws (7) r) ‘India’ means the Republic of India, consisting of all the States mentioned in Constitution of India and other territories included in or administered by the Republic of India: s) ‘Words’ importing the masculine gender shall include feminine gender. t) “Words’ importing singular number shall include the plural and vice versa. u) ‘Quarter’ means three months commencing from January, April, July & October. Membership i) The Board shall consist of the following members, . ji) First members of the Governing Body and those who have subscribed to the Memorandum of Association. iii) | Whenever a member desires to resign from the membership of the Board, he shall address his resignation to the Chief Executive Officer of the Board and submit the same to him. His resignation shall take effect only on its acceptance by the Chairman of the Governing Body. iv) Any Vacancy in the membership of Board either by resignation or otherwise may be filled up by the State Government. v) Should a person who is the member of the Board by virtue of his office held by him be unable to attend the meeting of the Board, he may appoint a proxy to attend the meeting in his Place. Such proxy shall be entitled to take part in the Proceedings of that meeting for which he is nominated but shall not have a right to vote thereat. vi) The Board shall function notwithstanding that any person entitled to be a "member by reason of his office is not represented on the Board for the time. being. The proceedings of the Board Shall not be invalidated by the above ‘season nor by the reason of any vacancy or defect in the nomination of any of its members. vii) The Board shall maintain a roll of members at its registered office and every member shall sign the required form Stating his occupation and address.
