(1) The Board shall have a Secretary who shall be the convener of the meetings of the Board [and the Standing Committees]. (2) The Secretary shall keep the minutes of the proceedings of each meeting in a book to be kept for the purpose which shall be signed by the President or the person presiding and the members present at such meeting.
