lfalse slaletn6nt -If any pPrson,- (i) when required by any of the provisions of this Act or any rule made thereunder to make any statement or furnish c.uLy Jnformation, makes any statement or furnishes any inforu1ation which is false in any material particular and which he knows •)r has reasonable cau~e to believe to be fal5e, or does not helivc to be true, or (ii) makes any such statement as aforesa1d in any book, account, record, declaration, return or other document which he is required by any of the pro,..isions of this Act or any rule made thereunder to maintain or furnish, he shall be punishable with itnprisonment for a term which 1nay extend to three months, or with fine, or wtth both. 2U Off~nces by con1panzes.-( l} If the person contravening any of tht~ provisions of this Act Is a cornpany, every person who, at the tune the contravention was committed, was in charge of, and was responsible to, the compd.ny for the conduct of the business of the company, as well ,\~ the company shall be dcc1ned to be guilty of the contravention and shall be liable to be proceeded against and puntshed accordingly: Provided that nothing contained in this subsect1on shaH render any such person liable to any punishmt!nt if he proves that the contravention took pldce without hts knowledge or.that he exercised all due diligence to prevent such contravention. (2) Notwithstanding anything contained in subsection (1), whetc an offence under thi~ Act has been co1nmitted by a company and it is proved that the offence has been committed with the consent or conuiv.tnce of, or is attributable to any neglect on the part of, any director, m,lnagcr, secretary or other ofllccr of the company, such director, manager, secretc1ry or other officer shall also be dre med to be guilty of that offence and shaJI ue liable to be proceeded aga1nst and punished accordingly. }!,xplanatlon.-For the purposes of this section,- (a) 'company' means any body corporate, and includes a filJU or other association of individuals; and (b) 'director', jn relation to a firm., means a partner in the fir1n.
